Nonprofit Articles of Incorporation

The undersigned natural person(s) of the age eighteen years or more, acting as incorporator(s) under the legal authority of your jurisdiction, adopt the following Articles of Incorporation:

ARTICLE I

The name of this corporation is the (fill with your corporate name), and its duration shall be perpetual.

ARTICLE II

The corporation is organized exclusively for the following educational and charitable purposes:

1. To provide and promote opportunities for increasing and improving communications and cooperation within and among neighborhoods and residents in the (name of your city, township, neighborhood) area through public discussion, community education, and the exchange of information;

2. To encourage and sponsor activities and projects to increase the livability and the physical and social environment:

ARTICLE II: MEMBERSHIP

1. Membership in the organization shall be open to any chairperson, president, or other duly authorized representative of an organized neighborhood association in the (name of your city, township, neighborhood) area.

2. Each organized neighborhood association shall be entitled to have one representative serve as a member of the organization.

3. Each member shall be entitled to one vote.

ARTICLE III: OFFICERS AND THE EXECUTIVE BOARD

1. The organization shall be managed by an executive board consisting of president, vice president,and secretary/treasurer elected by the membership at a regular meeting of the organization. The immediate past president shall also be a member of the executive board.

2. The term of office for officers of the organization shall be one year.

3. Vacancies in any office of the organization shall be filled by the membership at a regular meeting of the organization.

4. Officers of the organization shall, ex officio, serve as the executive board for the organization.

ARTICLE IV: COMMITTEES

1. Ad hoc committees may be established with the consent of the organization to address city-wide concerns and issues.

2. Every neighborhood association shall have the opportunity to be represented on each ad hoc committee.

3. Each ad hoc committee shall make a written report to the membership at a regularly called meeting.

ARTICLE V: DUTIES OF OFFICERS

1. The president shall have general supervisory and directional powers of the activities of the organization. The president shall preside at all meetings of the board and general membership.

2. The vice president shall perform such duties as delegated by the president and, in the absence of the president, shall serve as president of the organization.

3. The secretary/treasurer shall keep and maintain all records and accounts for the organization.

4. The executive board shall establish the agenda for regular membership meetings.

ARTICLE VI: MEETINGS OF THE EXECUTIVE BOARD

1. Meetings of the executive board shall be called by the president at such time and place as the president determines necessary for the operation of the organization.

2. A quorum for conduct of any business at a meeting of the executive board shall be two (2) members, and in the event that all members of the executive board are not present, unanimous consent of the executive board is required for all official action.

3. Meetings of the executive board shall be held at least four times each year.

4. The executive board shall meet to prior to all regular membership meetings.

ARTICLE VII: MEETINGS OF THE MEMBERSHIP

Meetings of the membership of the organization shall be called by the executive board or by at least 20 percent of the membership at such time and place as the executive board or membership determines necessary for the operation of the organization.

2. A quorum for the conduct of any business at a meeting of the membership shall be 50 percent of the organization's membership.

3. Except for procedural items, matters may be voted on in a meeting only if the item appears on the published agenda.

4. Meetings of the membership shall be held at least two times each year.

ARTICLE VIII: NOTICE OF MEETINGS

1. Notice of meetings of the executive board or the membership shall be given in writing or otherwise at least five days in advance of the meeting.

2. Notice of the annual meeting of the membership shall be given in writing at least five working days in advance of the meeting.

ARTICLE IX: POWERS

1. This corporation shall not have any power over the internal affairs or decision-making power of any individual neighborhood association.

2. At its discretion, the organization may take a position or make a recommendation independent of individual neighborhood association(s). This shall occur only as a result of the formation of an ad hoc committee, deliberation, the production of a written report which includes recommendations, and consent of the organization.

ARTICLE X: AMENDMENTS

1. These bylaws may be repealed or new bylaws may be adopted by the membership at any regularly called meeting.
